WELCOME TO ZIDISHOPS. We (Zidishops.com) hope you find it informative. By accessing or otherwise dealing with our servers, services, websites, mobile app (“App”), or any connected content/postings (collectively, “products”), you agree to these Terms of Use (“TOU“), you accept and agree that Zidishops (ZS) is a private site owned and operated by Zidishops. If you are accessing or using Zidishops (ZS) on behalf of a business, you represent and warrant to Zidishops (ZS) that you have the authority to accept the TOU on behalf of that business and that that business agrees to the TOU. If you do not agree to the TOU, you are not permitted to use Zidishops (ZS) or download the App. We reserve the right to change the Terms of Service at any time.

Please read the following Terms and Conditions carefully.

Zidishops Membership Rules

The Netzidi Group (hereinafter “Group”) is made up of Zidishops (hereinafter “Zidishops”) and its subsidiaries and affiliates, and it is dedicated to providing you with a one-of-a-kind and personalized service. To accomplish this purpose, the Netzidi Group offers a unified ID program for Zidishops called “Zidishops ID,” which comprises a single sign-in function that simplifies your access to and usage of the services provided by Netzidi Group firms around the world.

You will be able to use your Account and all connected services offered by Zidishops if you agree to these Zidishops Membership Rules (the “Membership Rules”) and create your own Zidishops account (your “Account”) (collectively, the “Member Services”).

Please keep in mind that further registration may be required in order to utilize certain services that accept the Zidishops ID. In such circumstances, please carefully review any supplementary terms of service that have been issued to you and finish the registration procedure as directed.

If you agree to the TOU and (1) are of legal age and capacity to use Zidishops (ZS) and be bound by the TOU, or (2) use Zidishops (ZS) on behalf of a business, therefore binding that business to the TOU, we give you a limited, revocable, non-exclusive, non-assignable license to use Zidishops (ZS) in accordance with the TOU; unauthorized usage is You agree not to display, “frame,” create derivative works from, distribute, license, or sell content from ZS, with the exception of postings you generate. You offer us a permanent, irrevocable, worldwide, fully paid/sublicensable right to use, copy, display, distribute, and create derivative works from the content you post.

ALL TERMS (GENERALLY)

These Terms apply to all users of the Services, including sellers, purchasers, merchants, and suppliers of content, information, and other materials. If you are entering into this agreement on behalf of a business entity, the term “you” throughout this agreement refers to the business entity on whose behalf you are using the Services, unless the context otherwise requires.

These Terms apply to you and Zidishops, or to any other service provider indicated for a specific Service. In these Terms, Zidishops. and its subsidiaries are collectively referred to as “Zidishops.”

USAGE

When using the Services, you must follow these Terms and not:

Decompile, reverse engineer, disassemble, attempt to find the source code of, decrypt, meddle with, or disrupt the integrity or performance of the Services.
Violate any applicable laws, rules, or regulations while accessing or using the Services.
Use the Services to circumvent or circumvent any sanctions or embargoes.
Remove, alter, or obscure any proprietary notice of Zidishops or its affiliates, partners, suppliers, or licensors (including any notice of copyright and trademark).
Use the Services for anything other than what they were designed for.
Use the Services to create or sell a product, service, or software that is directly or indirectly competitive with or a substitute for the Services or any other services, products, or software provided by Zidishops.
Upload any Content (as defined below) that violates or infringes on the publicity, privacy, copyright, trademark, or other intellectual property rights of any party.
It is prohibited to modify, improve, enhance, translate, or create derivative works based on the Services.
Copy, decompile, reverse engineer, disassemble, decrypt, interfere with, or disrupt the integrity or functioning of the Services.
Use the Services in an aggressive, vulgar, threatening, abusive, abusive, harassing, defaming, defamatory, deceptive, fraudulent, illegal, obscene, profane, or harmful manner.
Sending, posting, or otherwise conveying content that is racially or ethnically offensive, or that is otherwise objectionable.
Send automated, one-sided, or unauthorized messages, promotional materials, or junk email, spam, or chain letters using the Services.
Any data, file, software, or link containing or redirecting to a virus, Trojan horse, worm, or other dangerous component should not be uploaded or communicated via the Services.
Using any scraper, robot, bot, spider, crawler, or other automated device or means, access, acquire, copy, or monitor any portion of the Services, or any data or material found or accessed through the Services.
Use information on other users without their consent.
Commit any act with the goal to avoid paying any applicable fees and/or charges.
Attempt and/or engage in any activity or act with the goal of misusing, abusing, or manipulating any offer, campaign, and/or discount codes made accessible through the Services.
Such acts and actions include creating fake or duplicate accounts, placing fraudulent orders, and buying and reselling your own items.
Allow or encourage any of the aforementioned actions.
If you are later discovered or suspected of engaging in any conduct or behavior that violates these Terms, our guidelines, any extra terms and conditions and policies, Zidishops reserves the right to reclaim any cashbacks, prizes, and/or amounts paid to you under any event, promotion, offers, campaign, and/or any other activities, and/or terminate or suspend your account.

Zidishops Membership

You may use the Membership Service in accordance with the Membership Rules and any additional terms made available to you by Zidishops. While you may access the Group’s many services through your account, you may be needed to register additional information and agree to the applicable terms before using a specific service.
Incentives and loyalty programs, such as bonus points, are part of the Member Service. Zidishop determines the conditions of use for such programs separately.
Zidishops reserves the right to deny membership to users whose membership has been revoked in the past or who Zidishops deems unsuitable for membership for any reason.
When registering for membership, please read the instructions carefully and enter the required information on the online form. Please make sure that the information you provide is true and accurate. Zidishops is not responsible for damage or losses you may incur as a result of false, incorrect, or missing information, except where there is any cause attributable to Zidishops.

Managing Your Account, User ID and Password

To use some of the Services’ features, you must first create an account with Zidishops (“Account”). When you open an Account, you represent and warrant that you are authorized to:

If you are a person, you must be at least 18 years old. If you are representing a company, organization, or other legal entity (“Entity”), you have the ability to bind the Entity to these Terms.
You are legally capable of entering into and carrying out legally binding contracts under applicable legislation.
You provide up-to-date, accurate, truthful, and thorough information.
If you are under the age of 18, you may only use the Services with the approval and supervision of your parent or legal guardian, who will be responsible for all of your activities.
You are responsible for all activity and transactions that occur under your Account. We shall not be held liable in any manner if your password and/or Account are misappropriated or used by a third party. As a result, you agree to: Keep your password secure.
Keep your account information up to date at all times.
You must follow all current Zidishops policies and guidelines (which are incorporated into these Terms) as well as all applicable laws in your conduct and the Content that you publish to the Services.

Account Transactions

ANY PURCHASE OR APPLICATION TO ACQUIRE A PRODUCT OR SERVICE, AS WELL AS ANY OTHER ASSOCIATED ACTIVITY (COLLECTIVELY, A “TRANSACTION”) THAT YOU MAKE USING THE ACCOUNT ON A SERVICE PROVIDED BY THE GROUP TAKES PLACE SOLELY BETWEEN YOU AND THE COUNTERPARTY TO SUCH A TRANSACTION. UNLESS NETZIDI GROUP SERVES AS THE TRANSACTION’S COUNTERPARTY, IT IS NOT PARTICIPATING IN THE TRANSACTION AND ACCEPTS NO RESPONSIBILITY FOR IT, UNLESS THERE IS ANY CAUSE RELATED TO ZIDISHOPS. EXCEPT IN SUCH INSTANCES, ANY DISAGREEMENT ARISING FROM A TRANSACTION MUST BE RESOLVED BETWEEN YOU AND THE TRANSACTION’S COUNTERPARTY. AS A RESULT, YOU SHOULD ONLY PAY THE COUNTERPARTY IF YOU ARE CONFIDENT IN THE TRANSACTION.

ZIDI-Subscriptions

Furthermore, you may purchase ZIDI-Subscriptions (“Zidishops Subscriptions”) in order to sell on Zidishops and to gain access to and use of additional features and Services through a subscription service on or through any of the Platforms (details here: https://www.zidishops.com/help/#hfaq-post-9899). Any such purchases shall be made in line with Zidishops’ current subscription rules and costs, which are set out or linked by hyperlink above and form a part of these Terms.

SUBSCRIPTIONS TERMS

Zidishops reserves the right to change, suspend, or terminate all or a portion of any ZIDI-Subscription, its terms and conditions, the types of material or services supplied on or through the Platforms, the subscription period, and fees for such ZIDI-Subscription. Zidishops makes no representation or warranty that the aforementioned additional features and Services will continue to be available as part of the ZIDI-Subscription.
After the first month/year, your subscription will continue and be automatically renewed on a monthly/yearly basis until you expressly instruct us that you wish to terminate your relevant ZIDI-Subscription by providing us with written notice of non-renewal at least thirty (7) days before the expiration of the applicable current subscription period. All such notices should be sent to subscriptions@zidishops.com via email. Unless otherwise noted by Zidishops, any renewal of your subscription will be subject to the then-current subscription conditions.
Zidishops makes no representation or warranty that any features or Services will continue to be available as part of the ZIDI-Subscription.
You agree to be bound by any specific terms governing payment, subscription fees, minimum subscription periods, entitlements to any gift or premium under any promotion, termination fees, and delivery fees that apply to your ZIDI-Subscription, as set out in our application forms for the relevant subscription packages and payment terms you have chosen.
Your request for a ZIDI-Subscription is subject to our approval. Zidishops will make every effort to process your ZIDI-Subscription as quickly as possible, but cannot promise that the ZIDI-Subscription will be available to you by any specific time, even if an anticipated time is provided. The agreement with you for the receipt of the ZIDI-Subscription will become effective only when you get a subscription confirmation from Zidishops.

SUBSCRIPTIONS PAYMENT

You can pay your Zidishops fees with a credit card, a debit card through PayPal, or by telegraphic or other electronic means (TT copy).

You understand and agree that;

in the case of a subscription or recurring payment, you will make certain that all payments are made and cleared by your bank before each monthly and/or annual repeating payment is due. For credit card payments, your credit card account must be in good standing and legitimate in order for the monthly/annual charge(s) to be debited successfully. In the event of a failed payment, your ZIDI-Subscription will be automatically suspended and/or canceled if payment is not received within ten (10) days of the due date.
If your credit card expires or you desire to use a new credit card, please contact us as soon as possible by sending an email to finance@theZidishops.com, at least 14 days before your next subscription fee payment is due. Please include “Expiry/Change of CC information” in the subject line.
Except as expressly stated in this Clause, any subscription payments, listing fees, and/or other fees and charges paid by you to us in connection with your Account or otherwise for access to and use of the Services are non-refundable.
To be clear, there will be no refunds of any Zidishops Fees if: (i) your Account is suspended or terminated owing to a breach of these Terms; and/or (ii) any Content has been removed in compliance with these Terms.
If your account is suspended or cancelled for any reason, any amounts owed on your account will become instantly due and payable. Zidishops reserves the right to charge any sums you have not previously disputed to the billing method you are using and to terminate your Account, without prejudice to any other rights or remedies available to us; and;
You are responsible for collecting and paying any taxes incurred as a result of using and selling through the Services. Depending on your country’s tax regulations, a goods and services tax or similar consumption tax may be levied in addition to your fees.
You must pay all Zidishops Fees on time and in full before the due date specified by Zidishops (where applicable) and in line with our payment instructions. Without prejudice to any other rights or remedies available to us, Zidishops reserves the right to: (i)terminate and/or suspend your Account and/or your access to the Services; and/or (ii) charge you a late payment fee on the overdue amount at the rate of 1.5 percent per month, or, if lower, the maximum rate allowed by applicable law. You must pay such fees in addition to any past-due Zidishops Fees and any legal fees and collection costs incurred by Zidishops in collecting any past-due fees.

CONTENT SCREENING

Zidishops allow users to engage with one another as well as buy and sell products. Zidishops does not pre-screen a user or the Content given by a user, and it is not directly involved in user transactions. As a result, Zidishops has no control over, and you agree that Zidishops is not responsible or accountable for, any of the following:

The quality, safety, morality, or legality of any of the listed items.
The listings’ truth or correctness, vendors’ capacity to sell products, or buyers’ ability to pay for items.
A user’s genuine identity, age, nationality, or sense of humor.
Any user-posted content.

You are encouraged to use the Services’ features and capabilities to contact with other users and/or learn more about an item that a user has listed for sale. Please, however, use common sense and good judgment when interacting with other users. While Zidishops strives to make the Services safe for all users, you use the Services and interact with other users fully at your own risk.

YOU MAINTAIN OWNERSHIP RIGHTS IN THE CONTENT THAT YOU UPLOAD OR SHARE THROUGH THE SERVICES, BUT YOU GRANT ZIDISHOPS A WORLDWIDE, FULLY-PAID, ROYALTY-FREE, SUB-LICENSABLE, AND TRANSFERABLE LICENSE TO HOST, STORE, USE, DISPLAY, REPRODUCE, ALTER, ADAPT, EDIT, PUBLISH, AND DISTRIBUTE SUCH CONTENT (SUBJECT TO ZIDISHOPS’ PRIVACY POLICY) FOR THE PURPOSES OF OPERATING, DEVELOPING, OFFERING, MARKETING, AND IMPROVING THE SERVICES, AS WELL AS RESEARCHING AND CREATING NEW GOODS AND SERVICES.

You acknowledge that Zidishops does not pre-screen user-submitted Content. Zidishops reserves the right (but not the responsibility) to refuse, delete, or relocate any Content made accessible over the Services in its sole discretion. Without limiting the foregoing, Zidishops reserves the right to remove Content in the following circumstances, without liability or obligation to provide a refund:

If the Content violates these Terms.
If Zidishops receives a complaint or notice of infringement regarding the Content.
If the Content is otherwise offensive.
As part of its efforts to secure the Services, Zidishops may also prohibit Content and the delivery of communications (including, without limitation, feedback, postings, messages, and/or chats) to or from the Services.

NOTICES AND ANNOUNCEMENTS FROM Zidishops

Zidishops will send you alerts and announcements about the Membership Service via email to the last email address you supplied in your Registration Data, via the Zidishops website, and via any other way Zidishops deems acceptable.
You agree that when Zidishops sends you an email notice or announcement in the manner described in the preceding clause, the notice or announcement will be deemed received when the email becomes readable to you or 24 hours after the message is sent, whichever comes first, and that you will update your registered information as described in the preceding Article.

BUYING AND SELLING TERMES

You agree to the following terms by using the Services to create a listing and offer an item for sale:

All items must adhere to these Terms and the policies of Zidishops, which can be found here.
Our listing policy, which applies to all categories and is open to all vendors.
You must include a fair, accurate, and thorough description of each item, as well as the item’s price.
The item belongs to you, and it was not stolen.
The item is not a forgery and does not infringe on the copyright, patent, trademark, trade secret, or other proprietary or intellectual property rights of a third party.
The item is sold in accordance with all applicable rules and regulations. The item is not harmful, hazardous, or subject to a government or manufacturer recall.
The Content in any listing does not infringe or violate any applicable laws and regulations, as well as any third-party intellectual property or proprietary rights.
You agree to deliver the item or otherwise complete the transaction with the buyer as soon as possible unless there is an extraordinary scenario, such as the buyer failing to meet the terms of your ad (such as payment method) or you are unable to validate the buyer’s identity.
To offset the costs of packaging and mailing the item, you may charge reasonable shipping and handling fees.
You must not, however, charge exorbitant delivery fees or otherwise dodge fees.
You may not change the price of an item after it has been sold, nor may you misrepresent the item’s location or price.

Despite the preceding, Zidishops cannot guarantee that a user (whether as a buyer or seller) would follow through and finish a Transaction because Zidishops is not involved in Transactions between users.

USER DISAGREEMENTS

If you have a disagreement with a user of our Services, you are advised to contact that person to reach an amicable resolution. If a problem is reported to Zidishops, the company will make every effort to resolve it in good faith but is under no duty to do so. You exempt Zidishops from all claims, demands, or damages stemming from your disagreements with users of our Services.

INTELLECTUAL PROPERTY RIGHTS

You acknowledge and agree that the Services, as well as all copyright, patents, trademarks, trade secrets, and other intellectual property rights associated with them, are and will be Zidishops’ property. Furthermore, you realize and agree that the Services’ source and object code, as well as its format, directories, queries, algorithms, structure, and organization, are Zidishops’ intellectual property and private and confidential information. You are not given any intellectual property rights in and to the Services that are not expressly provided in these Terms, and Zidishops reserves and retains such rights.

NO WARRANTIES AND DISCLAIMER

You acknowledge and accept that Zidishops makes no assurance that the Content or other information available on our platform: (1) will be free of mistakes, bugs, faults, or security flaws; (2) will not infringe on the rights of third parties; or (3) will meet your requirements or expectations. You also understand and agree that the Membership Service is free of flaws and that you are solely liable for your usage of the Membership Service.

IN CONCLUSION

Without limiting the above, Zidishops expressly disclaims any warranty that the content of the Services given to you via your account is truthful, accurate, current, useful, reliable, or legally compliant, or that it does not violate third-party rights.

These Terms do not intend or create any agency, partnership, joint venture, employee-employer, or franchiser-franchisee relationship between you and Zidishops.
If any term of these Terms is found to be unenforceable, it will be changed to reflect the parties’ intent. The remainder of these Terms shall remain in full force and effect.
